VozerAI Terms and Conditions

Welcome to VozerAI ("VozerAI", "we", "our", or "us"). These Terms and Conditions ("Terms") govern your access to and use of the VozerAI platform, website, customer portal, APIs, applications, and related services (collectively, the "Service").

By creating an account, purchasing a subscription, making a payment, or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

1. Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into binding agreements to use the Service.

If you are registering on behalf of a company or organization, you represent that you have the authority to bind that organization to these Terms.

You are responsible for maintaining the confidentiality of your account credentials and for all activities occurring under your account.

2. Description of Services

VozerAI provides cloud-based AI-powered voice automation services, including AI Voice Assistants, AI Receptionists, Voice Calling, Voice AI Workflows, Knowledge Base Management, AI Prompt Management, Call Analytics, Usage Dashboard, Subscription Management, Billing and Invoice Management, CRM Integrations, API Access, and Third-party Integrations.

Available features depend upon your selected subscription plan.

3. Account Registration

You agree that all information provided during registration is accurate and complete, you will keep your account information updated, you are responsible for all activities conducted through your account, and you will immediately notify VozerAI of any unauthorized access or security breach.

VozerAI reserves the right to suspend or terminate accounts containing false, misleading, or fraudulent information.

4. Subscription Plans

The Service is offered through subscription plans.

By subscribing, you authorize VozerAI to charge your selected payment method for subscription fees, usage-based charges, additional services, and applicable taxes.

Subscriptions automatically renew at the end of each billing cycle unless cancelled before the next renewal date.

Plan pricing and included features are displayed at the time of purchase.

5. Usage Dashboard

Your customer portal may display information including your current subscription, available voice minutes, minutes consumed, calls this month, outstanding balance, payment history, downloadable invoices, billing history, and subscription renewal date.

Usage calculations performed by VozerAI are considered accurate unless a verified technical error is identified.

6. Payments

Payments are securely processed through third-party payment providers.

By submitting payment, you represent that you are authorized to use the payment method, the payment information is valid, you authorize recurring billing where applicable, and applicable taxes are your responsibility unless otherwise stated.

Failure to make payment may result in suspension or termination of your account.

7. No Refund Policy

All payments are final and non-refundable.

No refunds, credits, or partial reimbursements will be provided for subscription fees, voice minute purchases, usage charges, add-on purchases, setup fees, unused subscriptions, unused voice minutes, early cancellation, downgrading plans, or change of mind.

Please review your subscription carefully before completing payment.

8. Cancellation

You may cancel your subscription at any time through the VozerAI Portal.

Cancellation prevents future renewals and becomes effective at the end of the current billing cycle. Charges already processed are not refundable or prorated.

9. Fair Usage

Subscription plans include the features and usage limits described in your selected plan.

VozerAI reserves the right to apply fair usage limits to protect platform performance and reliability.

Excessive or abusive usage may result in additional charges, temporary rate limiting, suspension, or termination.

Unless otherwise stated, unused voice minutes expire at the end of each billing cycle, do not roll over, and have no cash value.

10. AI Data Processing and Customer Consent

By using VozerAI, you expressly authorize VozerAI to process the information you upload or provide in order to deliver the Service.

Customer Data may include knowledge base documents, business documents, website content, product information, FAQs, prompts, AI instructions, scripts, conversation flows, CRM data, uploaded files, call transcripts, voice recordings, contact information, and metadata.

VozerAI may process Customer Data for building AI knowledge bases, generating AI responses, processing prompts, configuring voice assistants, analytics, billing, troubleshooting, fraud detection, security monitoring, customer support, and providing the Services.

You represent that you own or have permission to use all Customer Data submitted through the Service.

You retain ownership of your Customer Data.

VozerAI may securely transmit Customer Data to trusted third-party providers, including AI providers, cloud hosting providers, speech-to-text providers, text-to-speech providers, telephony providers, CRM integrations, and payment processors solely to provide the Services.

VozerAI will implement commercially reasonable safeguards to protect Customer Data but cannot guarantee absolute security.

Unless separately authorized by you in writing, VozerAI will not use your Customer Data to train general-purpose AI models for the benefit of other customers.

11. Call Recording, Voice Processing and Transcripts

Certain VozerAI features may record telephone calls, generate transcripts, analyze conversations, process voice recordings, and create AI-generated summaries.

By enabling these features, you acknowledge and agree that calls, recordings, transcripts, prompts, AI-generated responses, and related metadata may be processed and stored by VozerAI and trusted third-party service providers.

You are solely responsible for complying with all applicable laws regarding call recording, privacy, AI disclosure, and telecommunications.

You are responsible for informing participants and obtaining any legally required consent before recording or processing calls.

VozerAI is not responsible for your compliance with applicable laws or regulations.

12. Acceptable Use

You agree not to use VozerAI for illegal activities, fraud, spam, robocalling, phishing, harassment, identity impersonation, malware distribution, intellectual property infringement, unauthorized system access, or any activity prohibited by applicable law.

VozerAI reserves the right to suspend or terminate accounts engaged in prohibited activities.

13. AI Output Disclaimer

AI-generated responses are produced automatically based on the information and instructions you provide.

VozerAI does not guarantee that AI-generated content will always be accurate, complete, current, or suitable for your intended purpose.

You are solely responsible for reviewing and validating AI-generated outputs before relying upon or sharing them.

14. Third-Party Services

VozerAI integrates with third-party providers including payment gateways, telephony providers, AI providers, cloud infrastructure, CRM platforms, and communication services.

VozerAI is not responsible for third-party outages, pricing changes, API failures, or service interruptions beyond its control.

15. Intellectual Property

All software, trademarks, branding, documentation, source code, APIs, and platform features remain the exclusive property of VozerAI or its licensors.

You receive a limited, non-exclusive, non-transferable license to use the Service during your active subscription.

16. Data Privacy

Your use of the Service is also governed by the VozerAI Privacy Policy.

VozerAI processes Customer Data only as necessary to provide, maintain, secure, and improve the Service.

17. Pricing Changes

VozerAI reserves the right to change subscription pricing, usage rates, and service fees at any time.

Price changes apply only to future billing cycles.

18. Chargebacks

If a payment is disputed, reversed, or charged back, VozerAI may suspend your account until all outstanding balances and applicable fees have been resolved.

19. Service Availability

VozerAI strives to provide a reliable service but does not guarantee uninterrupted or error-free availability.

Temporary interruptions may occur due to maintenance, upgrades, infrastructure failures, third-party outages, internet disruptions, or events beyond our control.

20. Suspension and Termination

VozerAI may suspend or terminate your account if payment is overdue, you violate these Terms, fraudulent or abusive activity is detected, your usage threatens platform stability, or suspension is required by law.

21. Limitation of Liability

To the maximum extent permitted by law, VozerAI shall not be liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, business opportunities, goodwill, or data.

VozerAI's total liability shall not exceed the amount paid by you to VozerAI during the twelve (12) months preceding the event giving rise to the claim.

22. Indemnification

You agree to indemnify and hold harmless VozerAI, its employees, affiliates, partners, licensors, and service providers from any claims, liabilities, damages, losses, or expenses arising from your use of the Service, your Customer Data, or your violation of these Terms or applicable laws.

23. Changes to the Service

VozerAI may modify, improve, replace, or discontinue features, pricing, subscription plans, or functionality at any time.

24. Changes to these Terms

VozerAI may update these Terms periodically. Continued use of the Service after updated Terms become effective constitutes acceptance of the revised Terms.

25. Governing Law

These Terms shall be governed by the laws of the Republic of India.

Any disputes shall be subject to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

27. Entire Agreement

These Terms constitute the entire agreement between you and VozerAI regarding the Service and supersede all prior agreements, communications, and understandings.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
